Bylaws of the GCCRW

 

ARTICLE I

NAME: The name of this organization shall be: Greater Columbia County Republican Women's Club

ARTICLE II OBJECTIVES:

(a) to promote an informed electorate through political education
(b) to increase the effectiveness of women in the cause of good government through active political participation
(c) to facilitate cooperation among women's clubs
(d) to foster loyalty to the Republican Party and to promote its ideals
(e) to support objectives and policies of the Georgia Republican Party and to work for the election of its nominees.

ARTICLE III POLICIES:

(a) There shall be no endorsement of candidates during a primary between two or more Republican candidates until one is nominated by the Republican National Convention, by the State Republican Primary, or by the County Republican Primary.
(b) The fiscal year of this club shall be from January 1 to December 31, with officers assuming their duties in January. Election of officers shall take place in odd-numbered years and officers shall assume office January 1 of even-numbered years. During the organization year of this club (2001), officers shall be elected at the first meeting and serve until elections are held at the final meeting of the year.

ARTICLE IV MEMBERSHIP:

Section 1. Eligibility
Membership in this organization shall be extended to any woman who is a registered voter in the state of Georgia and supports the ideals and objectives of the Republican Party.

Section 2. Dual Membership
An individual member may be a voting member of only one club and must declare in which club in which she intends to be voting member. She may become an associate member (non-voting) of any number of clubs, but shall be counted for membership totals only in the club in which she is a voting member. Associate Members shall have no vote.

Section 3. Dues
The dues of this organization shall be set by the Executive Committee. Dues will be payable in January of each year. Dues must be current for a member to have voting privileges with the club.

ARTICLE V OFFICERS AND THEIR DUTIES:

Section 1. The officers of this organization shall be:
President
Vice President
Recording Secretary
Corresponding Secretary
Treasurer

Section 2. The officers shall be elected in November of odd-numbered years for a term of (two) 2 years. During the organization year of this club (2001), the officers shall be elected at the first meeting and shall serve for the remainder of the calendar year.
 
Section 3. Duties of the President:
(a) to preside at all meetings of the club, the Board of Directors, and Executive Committee
(b) to represent the organization at all times or to designate someone as representative in her absence or inability to do so
(c) to appoint all committees except the nominating committee;
(d.) to appoint all special committees;
(e) to appoint chairmen and vice chairmen of standing committee (elected officers) or the Board of Directors;
(f) to appoint a Parliamentarian;
(g) to issue a Call to all board meetings at least 30 days prior to such meeting;
(h) to prepare a program of action after consultation with the chairmen of standing committees for presentation and approval by the Board of Directors;
(i) to be an ex oficio member of all committees except the nominating committee
(j) to sign checks, in emergency and by vote of a majority of the Executive Committee, in the inability of the Treasurer to do so.

Section 2. Duties of the Vice President:
The vice president shall perform the duties of the President in her absence, and shall perform such other duties as may be assigned to them by the President.
 
Section 3. Duties of the Recording Secretary:
(a) to keep the minutes of all meetings of the club and Board of Directors;
(b) to perform such other duties as may be assigned to her by the President.

Section 4. Duties of the Corresponding Secretary:
(a) to conduct all official correspondence of the club and maintain membership records
(b) to perform such other duties as may be assigned to her by the President.

Section 5. Duties of the Treasurer
(a) to be custodian of all funds of this organization;
(b) to send notices of unpaid dues to members;
(c) to disburse funds as directed by the Executive Committee or Board of Directors;
(d) to provide for an annual audit with the approval of the Executive Committee or Board of Directors
(e) to make written reports of receipts and disbursements for all meetings, and as directed by the President
(f) to be an ex-officio member of the budget committee.

Section 6. Officers Records:
All officers and all committee chairmen and vice chairmen shall deliver all records, files and properties of the club to the successors within one month after retiring from office, unless otherwise directed by the President of the Executive Committee.

ARTICLE VI -Executive Committee

Section 1. The Executive Committee shall consist of the elected officers of the club.

Section 2. Duties of the Executive Committee
(a) the executive committee shall be the governing body of the organization between meetings;
(b) to approve the program of action as presented by the president;
(c) to select the time and place of club meetings;
(d) to approve the official program and order of business for club meetings;
(e) to adopt the annual budget.
 
Section 3. Meetings of the Executive Committee
(a) The executive committee shall meet monthly on the 1st Thursday of each month, one-half hour prior to the regular meeting of the club.
(b) Special meetings may be called by the Executive Committee on 24 hours notice with the approval of a majority of the Executive Committee.

Section 4. Quorum -One-third of the membership shall constitute a quorum for all meetings of the Executive Committee, including three of the officers.

ARTICLE VII -STANDING COMMITTEES:

The standing committees of the club shall include (but not be limited to) Bylaws, Campaign, Fund Raising, Legislation, Membership, Program, and Public Relations. Committee chairmen shall be appointed by the President with the approval of the majority of the executive board.

ARTICLE VIII -NOMINATIONS AND ELECTIONS:

Section 1. The nominating committee shall be elected by a majority vote of the Executive Committee in September of odd- numbered years.
Section 2. The committee shall report to the executive Committee at the October meeting of the board.
Section 3. To be eligible to hold office, a member must be in good- standing, with dues current.
Section 4. Elections shall be by voice vote.

ARTICLE IX –Meetings:

The club shall hold a minimum of 5 meetings per year.

ARTICLE X –Quorum:

A quorum for regular and special meetings of the club shall be one-third of the membership, including 3 officers.

ARTICLE XI -Parliamentary Authority:

Roberts Rules of Order, Newly Revised shall govern this organization in all matters of procedure that are not in conflict with or covered in these bylaws.

ARTICLE XII –Amendments:

These bylaws may be amended by a two-thirds vote of those members present and voting at any meeting a quorum being present, provided that notice of proposed amendment has been sent to each member at least 14 days prior to the meeting, and provided further that amendments shall go into effect immediately upon adoption.
